Terms of Service

Last updated: [date]

These Terms govern your use of All Blue USA, operated by [Company legal name] ("All Blue USA", "we"). By creating an account or using the service you agree to them on behalf of your business.

1. Business use only

All Blue USA is a business-to-business marketplace. Every account belongs to a business, not an individual consumer. You confirm that you are authorized to bind your business and that you buy or sell only for business purposes. We do not sell to consumers.

2. Verification

Access is gated by verification. We may ask for your legal business name, address, EIN, licences and supporting documents, and we may approve, reject, suspend or re-verify an account at our discretion. You must keep this information accurate and up to date.

3. We are a marketplace, not the seller

Warehouses (sellers) list and sell goods to buyers. All Blue USA provides the platform, search, price comparison, messaging, order tools and payment handling. Unless we say otherwise in writing, we are not the seller of record, we do not own, inspect or ship the goods, and the sales contract for each order is between the buyer and the warehouse.

4. Seller responsibilities

Warehouses are responsible for:

  • the accuracy of their listings, prices, stock, photos and product details;
  • holding every licence and permit required to sell and ship what they list;
  • complying with the laws of the states they ship from and to, including excise taxes;
  • packing, shipping and delivering orders as described.

Our compliance tools show or hide listings by state and delivery method as a convenience. They are not legal advice and do not replace your own compliance duties.

5. Prohibited items and conduct

You may not list, buy or sell:

  • tobacco, nicotine, vape or e-cigarette products, or hemp/CBD products;
  • illegal drugs or controlled substances;
  • weapons, stolen, counterfeit or recalled goods;
  • anything else that is illegal to sell or ship in the relevant states.

You also may not take orders or payments off-platform to avoid the marketplace, scrape the service, probe its security, or use another business's account. We may remove listings and suspend accounts that break these rules.

6. Orders, payments and escrow

A cart can span several warehouses; checkout creates one order per warehouse. Payment is currently made by invoice (ACH or wire), and we confirm receipt manually. Once we confirm payment, the funds are held in escrow for that order. The held funds are released to the warehouse, less our platform fee, a set number of days after the order is marked completed (currently [3] days; this may change). While a dispute is open on an order, release is paused until the dispute is closed. A refund awarded to the buyer is paid from the escrowed funds first. The platform fee is currently [3]% of the released amount and may change with notice.

7. Disputes and refunds

A buyer may open a dispute on a delivered order within [7] days of delivery. If an order never arrives, a "not delivered" claim becomes available once the order has been in transit for a set period (currently [10] days). The warehouse is asked to respond within 48 hours; if it does not, or the parties disagree, All Blue USA reviews the evidence and decides, which may include a full or partial refund. This does not limit any rights either party has under law.

8. Messaging

Messages are for discussing orders and products. To protect both sides from off-platform payment scams, we automatically hide phone numbers, email addresses, links and payment handles in messages. Do not try to work around this.

9. Fees and taxes

Fees are described in the product and may change with notice. Each party is responsible for its own taxes, including sales, use and excise taxes; resale certificates are the buyer's responsibility.

10. Your content

You keep ownership of what you upload (listings, photos, documents, messages). You give us a licence to host and display it to operate the service.

11. Suspension and termination

You may close your account at any time. We may suspend or end access for breach of these Terms, failed verification, legal risk or non-payment. Open orders and escrowed funds are still handled under sections 6 and 7.

12. Disclaimers and liability

The service is provided "as is". To the fullest extent allowed by law, All Blue USA is not liable for indirect or consequential losses, or for the quality, legality or delivery of goods sold by warehouses, and our total liability is limited to the fees we received from you in the 12 months before the claim. [Lawyer: confirm limits and carve-outs.]

13. Governing law

These Terms are governed by the laws of the State of [state], United States. Disputes will be brought in the courts located in [county, state] [or resolved by arbitration; lawyer to decide].

14. Changes and contact

We may update these Terms and will post the new version with its date; continued use means you accept it. Questions: [contact email]. See also our Privacy Policy.
